Reason for this change is: In the past the number of board members was raised from 5 to 7 due to australian association (NSW?) rules: "Within board there have to be at least 3 board members from Australia (NSW?)." ... to avoid having more australian committee members according this rule than non-australian, the number of 5 board members was raised to 7 to allow a better reflection to the CAcert Inc. members and CAcert community. As with the move of CAcert Inc. from australia to switzerland this requirement is not there anymore, the number of board-members should be reduced to 5 again. >(2) ''unchanged'' || === Closing down CAcert Inc. and create a new corporate body === As a member of CAcert Inc. I request to add this Special Resolution to the agenda of the upcoming Annual General Meeting on Sep. 28th, 2024. RESOLUTION: Vote on closing down CAcert Inc. until end of 2027 CONTENT: I move that CACert Inc. is to be closed down until 2027-12-31. To achieve this, the board is requested to perform the following tasks: 1. Collect all neccessary information and prepare resignation of all existing contracts with CAcert service providers. 2. Prepare legal deregistration of the association in Switzerland. 3. Find or create a person or company (honorary preferred) that continues to operate the cacert.org domains ("Successor"). 4. Make a proposal which CAcert services could be continued by the Successor (eg. E-Mail, ML, Website). 5. Prepare shutdown as soon as possible of all services that have been identified as to not being continued and inform the community about this. 6. Check if remaining financial property can be transferred to the Successor to enable continuation of services. 7. Check if the proposed time frame is viable or must be extended due to legal reasons. Board shall report progress on this regularly and on all future AGMs or SGMs. NOTES: As a follow-up to the "Future of Cacert?" document that was sent out lately by Frédéric Grither, this resolution is created to take the next step and decide on closing down CAcert Inc. and the community services. This document lists many reasons for (and a few against) closing down CAcert. A few responds on the mailing lists to the document show that there are other community and/or Inc. members that have a similar opinion on the topic. Having been a member of the board myself some years ago, I came to a similar conclusion - declining participation in community and association, a minimal staff that barely can keep the infrastructure running, and the purposes of CAcert becoming more and more irrelevant. Furthermore, the design of CAcerts rules has created a dead-lock situation that prevents effective processes and fix issues in a reasonable time frame. Even if the concept of a community-driven CA or identity provider is still considered to be useful, CAcert as an instance of such a CA should be closed.
